TITLE
The Club shall be known as FALKIRK RADIO CAR CLUB.
OBJECTIVES
1. To promote the construction and racing of radio controlled cars
2. To set rules and standards for construction and racing
3. To help encourage and develop a responsible, competitive and
sporting attitude amongst Club Members and in particular younger
Members.

Membership shall be open to all and shall be deemed to commence
when the Club issues the appropriate documentation.
• Full individual: Senior (over 16 years)
• Full individual: Junior (16 years or under)
• Associated Member: Those who are not actively engaged as a
model car driver: a parent or mechanic.
Members who are under the age of 16 must be accompanied by an adult
at all times when attending the club.
CESSATION OF MEMBERSHIP
Any Member failing to renew his / her Membership as required or any
Member notifying his / her resignation shall forfeit all rights to claim on
the Club, its property or its funds.
SUBSCRIPTIONS
Membership subscriptions shall be reviewed and fixed annually at the
Annual General Meeting (AGM) for the period from 1st January to 31st
December.
Any Member who has not paid his / her subscription within 3 weeks of
the start of the season shall be assumed to have terminated his / her
Membership and will not be included in the Club championships.
RESIGNATION
Any Member wishing to withdraw from the Club must notify the Secretary
in writing. In the case of an Office Bearing Committee Member
resigning, this position may be temporarily filled from within the existing
Committee. Should this option fail, an Extraordinary General Meeting
(EGM) will be called by the Secretary to decide the successor as soon
as possible after notice has been given to the Members.
OFFICIALS
The following Office Bearing Committee Members shall be elected yearly
at the AGM.
• Chairman
• Vice-Chairman
• Secretary
• Treasurer
Other Committee Members may also be proposed and voted on to
committee to cover certain roles as deemed necessary by the Office
Bearers.
POWERS OF THE COMMITTEE
The Committee shall manage all concerns of the Club, uphold the Club's
Constitution and shall have power to settle all points of interpretation of
Club rules, providing such power shall not overrule a resolution of the
AGM.
In the case of misconduct of any Member in the club, the Committee
shall request such Member to attend before them to justify his / her
conduct. The Committee after hearing such caser or, in the event of
such Member refusing or neglecting to attend before them, shall have
the power to expel such Member. In the case of expulsion, the decision
shall be final.
VOTING
Proposal for a change of the Club's Constitution shall require a two
thirds majority of fully paid up Members attending an AGM or providing
the criteria has been met at an EGM. All other elections and proposals
shall be decided by a straight majority vote of those present.
FINANCIAL YEAR
This shall run from 1st November to 31st October inclusive in each year.
FINANCE
All matters relating to spending of Club funds shall be referred through
the Club's Treasurer and to the Committee. The Treasurer shall present
annual Financial Statements at the AGM. These should clearly indicate
the Club's financial position. All relevant documents will be made
available for inspection at the meeting. These Financial Statements
must be proposed and seconded by fully paid up Members of the Club.
Any financial expenditure over £250 must be approved by the
Committee.
RACE FORMAT
The race and championship formats for the following year shall be

AGM. This is to include battery and motor
specs which will be allowed.
MEMBER'S ADDRESSES
Each Member's address shall be recorded in the Club records and shall
be deemed to be correct unless the Secretary is notified of an alteration
of change by the said Member.
These names and addresses will also be stored on the Club's computer.
Under no circumstances will these details be released or distributed to
other parties. These are solely for Club use.
The Member shall be allowed access to their details held by the Club at
any time and will have the right to have these details changed or
removed if they wish to cease their Membership.
MINUTES OF A MEETING
Minutes of an AGM or EGM shall be published as soon as convenient,
but in every case, before the next similar meeting. Minutes shall be
displayed on the Club notice board and website. Copies of the minutes
shall be kept indefinitely by the Club Secretary.
ANNUAL GENERAL MEETING (AGM)
The AGM shall be held in November, after the end of the financial year.
The Secretary shall give written notice to every Club Member four weeks
before the due date of the AGM. This notice may take the form of
Member Proposal Forms which will contain all the relevant details
pertaining to the AGM. These will be distributed and collected at Club
nights in the weeks prior to the AGM. Proposals may also be presented
orally on the night of the AGM under Any Other Competent Business.
Only fully paid up Members shall have a vote on the Club's business, or
the ability to propose or second nominations for Committee positions.
Junior Members who wish to make proposals at the AGM must have
them countersigned by their parent/guardian or a representative of the
Committee.
Only Members who attended the previous year's AGM may propose or
second the previous year's minutes.
The Secretary shall produce an Agenda for the AGM and this should, at
the minimum, contain the following:

2. Minutes of the previous AGM
3. Matters Arising from the previous AGM's minutes
4. Committee's Report
• Treasurer's Report and Financial Statements
• Secretary’s Report
• Race Director’s Report
5. Elections
6. Race and Championship Format / Technical Specification of
Racing i.e cells, motors etc.
7. Members Proposals
8. Any other competent business (AOCB)
Any resolution of the AGM shall not be valid unless 10% of Members
who are entitled to vote are present. Such a resolution shall only be
passed by a two thirds majority of these Members present at the AGM.
EXTRAORDINARY GENERAL MEETING (EGM)
An EGM may be called by the Secretary on receipt of instruction by the
Club's Committee, or on receipt of reasonable written request from 10%
of the Club's Members.

Applications shall be considered by the Committee in order to possibly
resolve without proceeding with EGM. This EGM shall only discuss
specific matters. It is not an opportunity to discuss unrelated matters, or
to overturn resolutions put in place at an AGM.
On receipt of written documentation from membership, two weeks notice
of such a meeting shall be given to all Club Members.
Any resolution of the EGM shall not be valid unless 10% of Members
who are entitled to vote are present. Such a resolution shall only be
passed by a two thirds majority of Members present at the EGM.
CONSTITUTIONAL RULES
A copy of the Constitution shall be forwarded to each Member. These
rules so presented shall be binding on every Member.
No Member shall be absolved from the effects of these rules on the
allegation of not having received them.
ALTERATION OF THE CONSTITUTION
The Constitution defines the rules for the government of the Club.
All alterations or additions to the Constitution may be only adopted by
resolution at an AGM or by a specifically called EGM convened
according to the Constitution.
Such resolution must be approved by two thirds of Members present at
such a meeting, and who have the right to vote.
DISSOLUTION OF THE CLUB
If at any general meeting a resolution for the dissolution of the Club is
passed by two thirds of Members present and such a resolution be
confirmed at an EGM held not less than one month later at which not
less than half the Members are present and by a two thirds majority vote of the Members, then the Committee shall thereupon proceed to realise
the property of the Club.
After discharge of all liabilities the Committee shall divide the same
amongst all the Members according to the proportions decided at the
EGM.
Upon the completion of such divisions the Club shall be deemed
dissolved.
